V/v: Mời họp Đại hội đồng cổ đông thường niên năm 2011

 

 

Trân trọng kính mời: Quý vị cổ đông Công ty PVCI

 

Hội đồng quản trị Công ty cổ phần Đầu tư Xây lắp Dầu khí Việt Nam (PVCI) trân trọng thông báo và kính mời quý cổ đông tới tham dự họp Đại hội đồng cổ đông thường niên năm 2011, cụ thể như sau:

 

1. Thời gian bắt đầu: 08h30 phút, Thứ tư, ngày 27 tháng 04 năm 2011.

 

2. Địa điểm: Số 28 đường Trung Yên 1, Yên Hòa, Cầu Giấy, Hà Nội.

 

3. Nội dung Đại hội:

3.1. Báo cáo hoạt động của Hội đồng quản trị năm 2010 và kế hoạch năm 2011;

3.2. Báo cáo của Tổng giám đốc về kết quả thực hiện kế hoạch SXKD năm 2010 và phương hướng nhiệm vụ kế hoạch SXKD năm 2011;

3.3. Báo cáo hoạt động của Ban Kiểm soát;

3.4. Báo cáo tài chính đã được kiểm toán năm 2010;

3.5. Phương án phân phối lợi nhuận và chi trả cổ tức năm 2010;

3.6. Phương án lựa chọn đơn vị kiểm toán báo cáo tài chính năm 2011 và kiểm toán soát xét Báo cáo hàng Quý năm 2011;

3.7. Quyết toán thù lao của HĐQT, Ban kiểm soát năm 2010 và dự toán năm 2011;

3.8. Điều chỉnh Kế hoạch niêm yết cổ phiếu của Công ty lên Sở giao dịch chứng khoán Hà Nội;

3.9. Phê chuẩn việc HĐQT bổ nhiệm Tổng giám đốc;

3.10. Thông qua v iệc chuyển nhượng cổ phần của cổ đông sáng lập;

3.11. Sửa đổi Điều lệ Tổ chức và Hoạt động của công ty;

3.12. Thông qua việc chuyển trụ sở chính của Công ty;

3.13. Thông qua việc miễn nhiệm ông Đàm Đại Thắng thôi giữ chức Ủy viên HĐQT Công ty.

 

4. Điều kiện tham dự Đại hội: Tất cả các cổ đông sở hữu cổ phiếu của PVCI theo danh sách cổ đông chốt đến ngày 07/04/2011 hoặc những người được ủy quyền tham dự hợp lệ.

 

5. Xác nhận tham dự Đại hội: Để công tác tổ chức Đại hội được chu đáo, đề nghị Quý cổ đông thực hiện thủ tục xác nhận trực tiếp tham dự Đại hội hoặc ủy quyền cho người khác tham dự Đại hội (theo mẫu giấy ủy quyền gửi kèm) và gửi về PVCI theo: Đường bưu điện, fax, trực tiếp đến PVCI trước 12h00 ngày 25/04/2011.

 

6. Cổ đông hoặc người được ủy quyền đến dự Đại hội cần mang theo các giấy tờ sau:

- Giấy chứng minh nhân dân hoặc hộ chiếu.

- Thông báo mời họp Đại hội đồng cổ đông thường niên năm 2011 và Giấy ủy quyền (trường hợp nhận ủy quyền tham dự Đại hội).
